MYSUTRALIFE believes in one world connected with the thread of humanity and provides a platform to you (referred to as “You” or “Data Subject”) to create and maintain a comprehensive map of your identity in a unique way so that no person is ever lost in the sands of time. The MYSUTRALIFE APPLICATION enables you to define your life in your own words and in your own way. Your unique digital records stay even when you are long gone. 

 

We at MYSUTRALIFE TECHNOLOGIES PRIVATE LIMITED., (hereinafter ‘Company, we, our, us’), own, manage and operate the Website www.mysutra.life, associated mobile application and other associated products and services. The website and/or Application MySutra.life which can be accessed, downloaded or used on any Device (hereinafter referred to as ‘Platform’) and the associated customized services which include but are not limited to sending/receiving SMS, e-mail notifications and other formats capable of communication, provision of Content creation, and access to Content which is created and uploaded by users on the Platform collectively referred to as “Services” as sought to be accessed by you subject to the Terms of Use (hereinafter “Terms”), Privacy Policy and Community Guidelines. These Terms govern the rights between Company and You in relation to the use of Services. 

The Terms must be read by You completely and well understood before agreeing to the said Terms governing any or all relationship with the Services offered by the Company. You understand that the Terms will be binding on You and agree that the Services offered by Us can be accessed only in accordance with the Terms and it shall be your duty to comply with the terms at all times. You are responsible to be aware of and agreeing to abide by the Terms as published and periodically amended or modified by us. 

We urge you to access, review and familiarize yourself with these Terms periodically, for your continued use of Services. You agree that your use of the Services shall constitute your consent and agreement to these Terms.

 

These are the Terms of Use governing the use of the Services and the agreement that operates between You and the Company. These Terms set out your rights and obligations regarding the use of the Services.

Your access and use of the Services is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all Data subjects. 

By accessing or using the Service, You agree to be bound by these Terms and You further explicitly consent to our Privacy Policy and the Community Guidelines. In the event the Terms, Privacy Policy and Community Guidelines are not agreeable to you, we request You to desist from accessing the Platform or accessing, downloading, using the Services in any manner, whatsoever. 

 

The words in which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in the plural and shall be interpreted to be gender-neutral.

For the purposes of these Terms of Use:

• “Affiliate” means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for the election of directors or other managing authority.
• “Account” means a unique account created for You on our Platform to access our Services or parts of our Services.
• “Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to MySutraLife Technologies Pvt. Ltd. located at B2-1101, Uniworld City Apartment, Sector-30, Gurugram, Haryana-122001, India and includes its affiliates, subsidiaries, successors in interest.
• “Country” refers to the country in which the company has its registered office i.e. India.
• “Contact List” refers to the User, Invitee, Nominee added by You to your Account.
• “Content” refers to content such as text, images, audio, videos or other information that can be posted, uploaded, shared, linked to or otherwise made available by You, regardless of the form of that content. 
• “Data Subject or You” refers to all those who accessing and/or using the Services including User, Visitor, Invitee and Nominee.
• “Dead Man Switch” refers to the option given to the Nominee(s) of the User to report Death of the User by whom he/she is appointed as Nominee and which shall enable the Nominee(s) to convert the deceased User’s Account to Memoir Account, provided that such report of Death of the User is confirmed by minimum two other Nominee(s) for the same User. 
• “Designated country” refers to the country of the User.
• “Device” means any device that can access the Services such as a computer, a cell phone or a digital tablet.
• “Dormant account" refers to an Account of a User that has no activity for a period of 1 year from the date of last access.
• “Feedback” includes feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
• “Invitee” refers to a person who received an invitation from a User to register on the Platform and access/use the Services.
• “Legally Allowable Age” refers to the age of User allowed to access/use social media networks independently according to the law of his Designated Country. By default, the Legally Allowable Age is set as 18 years for a User. 
• “Services” refers to the website www.mysutra.life and/or Application MySutra.life which can be accessed, downloaded or used on any Device (Platform) and the associated customized services which include but are not limited to sending/receiving SMS, e-mail notifications and other formats capable of communication, provision of Content creation, and access to Content which is created and uploaded by Users.
• “Terms of Use” (also referred to as "Terms") mean these Terms of Use that form the entire agreement between You and the Company regarding the use of the Services.
• “Third-party Service provider” means any service provider not under the control of the Company and includes other social media platforms like Facebook, Twitter, Instagram, etc.).
• “Trusted Partner” means any service provider used by Us for providing you uninterrupted Services effectively as per our Terms and Privacy Policy.
• “Website” refers to www.mysutra.life
• “Family” refers to immediate family members, which comprises of the grandparent(s), parent(s), child, sibling(s) and spouse(s). 
• "Memoir Account” refers to an account of a deceased User, which is maintained by the Family and/or Nominee(s) of such User after the “Dead Man Switch” option is exercised. The Content available in such account prior to its conversion to Memoir Account shall not be editable by any User. However, Users may post content to Memoir Account as per the Terms, Privacy Policy and Community Guidelines, which shall be moderated by the Family of the deceased User.   
• “Nominee” refers to an individual or individuals belonging to the Family of the User appointed by the User to have a right to access the account of that User after the death of the User, provided the Nominee explicitly consents to such appointment. A User has to appoint a minimum of three Nominees. The Nominee will be able to maintain the Memorial of the deceased User once confirmation of the death of the User is done as per Dead Man Switch protocol. Identification and contact information of the Nominee shall be shared by the User with the Company. The nominee shall be authenticated through a unique identifier known to only Company, User and Nominee as per the procedure and policies of the Company. Nominee can be changed as per the wish of the User at any point of time. 
• "Personal Information” refers to information including but not limited to name, date of birth, address, email address which can be used to identify an individual but excludes Sensitive Personal Information.
• “Sensitive Personal Information” referred to in accordance with the Rule 3 of the Information Technology (Reasonable Security Practices And Procedures And Sensitive Personal Data Or Information) Rules, 2011 and includes inter alia information relating to passwords, credit/ debit cards information, biometric information (such as DNA, fingerprints, voice patterns, etc. that are used for authentication purposes), physical, physiological and mental health condition, sexual orientation etc. It is further clarified that any information is freely available or accessible in the public domain is not considered to be sensitive personal information.

 

User Accounts

• You are required to create an Account to use our Services or part of the Services.

• You must use the same name to create the Account that you use in everyday life and create only one Account.

• You must be responsible to provide Us with Your Personal Information that is accurate, complete, and current at all times.

• You are responsible for safeguarding your account and updating your Account information at all times to help us to communicate to you or your Nominee or with anyone in your Contact List to take necessary action on any complaint or for grievance redressal or for restoration of the Dormant account. You are responsible for safeguarding the password that You use to access the Service and for any activities or actions in Your Account, whether Your password is with Our Service or a Third-Party Service Provider. You are responsible for use of our Services, and undertake to comply with the applicable laws in India and in Designated Country, and act in strict adherence to our Terms or Privacy Policy or Community Guidelines. The access to our Services for you is free of charge, or in any such manner which is determined by the company, as updated or modified from time to time, and is conveyed to you.

• You agree not to transfer your Account to anyone else without our permission or disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

• You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You or a name that is otherwise offensive, vulgar or obscene.

• You can control most communications from the Services. We may need to provide you with certain communication, such as service announcements and administrative messages. These communications are considered part of the Services and your Account, and you may not be able to opt out from receiving them.

• We cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

• Failure to comply with the above Terms constitutes a breach of the Terms, which may result in immediate termination of Your Account and use of Our Services.

• The Services provided to you are strictly for your personal and non-commercial purposes only and should not be shared with individuals in violations of these Terms or Privacy Policy or Community Guidelines.

Parental Control on Use/Access of Services

• The user has an option to create a child profile for his child under Legally Allowable Age under his parental control. Such child profile can be created at any time from the day the child is born up to the day child attains the legally Allowable Age and shall be separate from the parent profile under the same User Account.

• As a parent, it is your responsibility to ensure your child under the Legally Allowable Age does not create an independent account on the Platform or use/access our Services. In case, it is found that a child has created an independent account by providing false information, the parent shall inform immediately to delete such account.

• The child profile under any User Account shall be accessible only after the user authenticates and allows login into the child profile. Once the child enters the child profile, he shall not be able to switch to the parent profile under the same User Account without authentication by the User.

• The Content posted/created on the child profile shall be moderated by the User having parental control on the child profile.

• Parental control at all times shall be the responsibility of the User under whom the child profile has been created.

Restrictions on the Access and Use of the Services 

We try to make our services broadly available to everyone, but you cannot use our Services if:

• Your Account was being previously disabled for violation of our Terms and/or Privacy Policy and/or Community Guidelines.

• You are prohibited from using or receiving our Services under applicable laws of Our Country or Designated Country.

We provide you an opportunity to create your own digital village with your family, friends, co-workers, acquaintances, and pets. You can connect and live with others in your world to share your life moments. The Services can be accessed through “Invitation-Only” from a User to an Invitee. 

We provide you with the ability to:

• Create and maintain Your own Account with Your Personal Information on the Platform after registration.

• Enlist and invite your Family, Co-workers, Friends, Pets and Acquaintances.

• Create a profile of your Child under the Legally Allowable Age under Parental control.

• Create a profile for your Pets who are not eligible to create their own Account.

• Assign Nominee(s) of your Account to maintain memorial of your profile after your death.  

• Share your content, re-share content shared by others, connect, follow, and communicate with other Users.

• Remove, edit, modify the content posted on or through your Account.

• Control privacy of your own account as per the Privacy Policy of the company, using privacy settings and other features of the Platform. 

• Determine and select the Users who can view your profile and/or any other Content uploaded by You on the Platform.

• Determine and select the Users who can respond to your Content uploaded by You on the Platform.

• Provide feedback, comment, or suggestions regarding the Services.

Your Right to Post Content

• You are responsible for the Content that You post to the Platform, including its legality, reliability, and appropriateness.

• You retain any and all of Your rights to any Content You submit, post or display on the Platform or through the Service and You are responsible for protecting those rights. 

• You represent and warrant that (i) the Content is Yours (You own it) or You have the right to use it, (ii) Content will not contain material subject to copyright or other proprietary rights of third parties, unless you have necessary permission or are otherwise legally entitled to post such content, (iii) the posting of Your Content on or through the Platform does not violate the applicable laws of Our Country and Your Designated Country including and not limited to the privacy rights, publicity rights, moral rights, copyrights, contract rights or any other rights of any person.

Content Backups

• Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data.

• Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

• The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. However, You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

Your Restrictions to Post Certain Content 

The Company is not responsible for the content of the Users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under your Account, whether done so by You or any third person using Your Account.

As a User, You expressly understand and agree that You are solely responsible for any content and for all activity that occurs under the child profile under Your parental control.

You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

• Unlawful or promoting unlawful activity.

• Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.

• Spam, machine – or randomly-generated, constitutes unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.

• Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.

• Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.

• Disparaging or diluting any trademark.

• Impersonating any person or entity including the Company and its employees or representatives.

• Violating the privacy of any third person.

• False information and features.

Right to the Content

• You retain your rights to any Content you submit, post or display on or through the Services. 

• You have exclusive right and choice to display the Content including but not limited to your Personal Information and can use Account settings to moderate the Content that can be viewed by other Users or Yourself. This shall include the Content that you wish to be displayed or notified exclusively to particular User/Users and the Content you intend to keep private i.e. display only in your Account for your personal records. 

• Your Family and/or Your Nominee(s) shall have the right to maintain Your Account as a memorial after your death once the Dead Man Switch option is exercised.

• You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to grant the rights granted herein for any Content that you submit, post or display on or through the Services. 

• By posting Content on the Platform and by use/access of Our Services, you grant Us the right and license to store, display and transfer such Content on and through the Service at our sole discretion in consonance with the Privacy Policy. You agree that this license includes the right for Us to make Your Content available to other Users of the Service in your Contact List and as per your Account Settings, who may also use Your Content subject to these Terms.

• We don’t sell Personal Information however we collect and use your Information as described in our Privacy Policy. 

• You agree that we can show you ads that businesses and organizations pay us for. We use your Personal Information and Usage Information such as information about your activity and interests to show you ads that are more relevant to you. However, this shall not be applicable to child profiles.

• You have control over the types of ads and the advertisers you see and the types of information we use to determine which ad we show you.

Company’s Role and Responsibilities for Content Moderation

• All the Content that is available on the Platform is the sole responsibility of the originator of the Content. As the Company cannot control all Content posted by users and/or third parties on the Platform, You agree to use the Platform and Services solely at your own risk. 

• We do not endorse, support, represent, authorize the circulation of all Content published on our Service, and we do not further attest to the accuracy, originality, reliability, legitimacy, completeness, of such Content, as available on our Services.

• The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with this Terms, refuse or remove this Content. 

• The Company can also limit or revoke the use of the Service if You post any objectionable Content. 

• You understand that by using the Service, You may be exposed to Content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of your use of any Content. 

•  The Company reserves the right to restrict circulations of any Content that violates the Terms, Privacy Policy and Community Guidelines.

• The Company may also suspend or terminate your account for violation of Terms. You agree not to: circumvent, remove, degrade, deactivate, thwart any of the content of our Service, use any robot, spider, scraper, or other means to access our Service. 

• We do not undertake any obligation to monitor user-generated content, except to the extent required by law. We are an intermediary that primarily enables online interaction between two or more users and allows them to create, upload, share, disseminate, modify or access information using Our Services and we cannot assume responsibility for such Content.

• Please use the Report button on the Platform to record Your complaint or grievance. We may remove Content if such Content is violative of our Terms, Privacy Policy, Community Guidelines, established and universal legal principles or is spammy or if such Content is violative of applicable law in the Country or Designated Country. 

• In this connection, we shall abide by binding directions of legal authorities as and when they are made. You are obliged to furnish us any legal order received by you for removal of any content.

• While we will endeavor to inform you of any legal order or legal directions, it may not always be possible to immediately notify you of any action taken on our part. You may appeal against any action taken to the Grievance Officer whose details are provided below.

• The Service and its original content (excluding Content provided by You or other Users), features and functionality are and will remain the exclusive property of the Company and its licensors.
• The Platform and Service are protected by copyright, trademark, and other laws of both the Country and Designated Countries.
• Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
• We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property right of any person.
• If You are a copyright owner or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must Report us in writing via email provided under Reporting and Redressal mechanism and include in Your Report a detailed description of the alleged infringement including the URL of the location where such infringing work exists, Your address, contact number and Email address along with Statement that your Claim to the intellectual property right in the alleged Content is in good faith and the information provided to us is accurate and complete to the best of your knowledge and belief.
• You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing Your intellectual property right.
• Upon receipt of Your report, the Company will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged Content from the Platform

 

• Without foregoing the responsibilities ascribed to you under these Terms, and without foregoing the generality of the Community Guidelines, you are prohibited from publishing any Content which:

1. 1. may be harmful to minors or children, including any sexually explicit, abusive content. We have a zero-tolerance policy against child sexual abuse content; and/ or,
   2. threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any other nation; and/ or,
   3. is invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating, or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; and/ or,
   4. infringes on any third party’s rights, including copyright, trademark, privacy, and publicity rights, and any other protected subject matter; and/ or,
   5. may be deemed as capitalizing on or lacking reasonable sensitivity towards a natural disaster, atrocity, conflict, death, or other tragic events; and/ or,
   6. threaten, harass, or bully other Users or third parties, including depictions of violence, gratuitous or otherwise, to any person place or property, or inciting violence, including suicide; and/ or,
   7. depicts content, which is sexually explicit (pornographic or erotic content, including icons, titles, or descriptions), violent in nature, abusive, and grossly harmful; and/or,
   8. is in violation of applicable law of India or Designated Country.

• The Company shall, upon obtaining knowledge by itself or having been brought to actual knowledge by an affected person in writing or through email, about any such information as mentioned above, be entitled to disable such information that is in contravention of this clause. We shall also be entitled to preserve such information and associated records for at least 180 (one hundred eighty) days for production to governmental authorities for investigation purposes.

 

You assign all rights, title and interest in any Feedback You provide to the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

 

Our Service may contain links to other websites that are not operated by Us. If You click on a third-party link, You will be directed to that third party's site. We strongly advise You to review the Terms and/or Privacy Policy of every site You visit. We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

 

• We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Use.
• We may suspend Your Account immediately on receiving a Report of breach of Terms of Use by another User(s). We may send you a warning and provide 7 days’ time to rectify/justify Your Actions, before terminating Your Account permanently.
• Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.
• You have the right to temporarily disable your account if you wish to discontinue use of Our Services for a temporary period.

 

1. You shall defend, indemnify, and hold harmless the Company from all liabilities, losses, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to:

2. (i) Your use or misuse of, or access to, the Service; or,

(ii) Your violation of the Terms of Use, Privacy Policy and/or Community Guidelines or any applicable law, contract, policy, regulation or other obligation. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will assist and cooperate with us in connection therewith.

 

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY (NOR ITS DIRECTORS, EMPLOYEES, AGENTS, SPONSORS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS OR RESELLERS,) BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE:

(I) FOR ANY LOST PROFITS, DATA LOSS, LOSS OF GOODWILL OR OPPORTUNITY, OR SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER;

(II) FOR YOUR RELIANCE ON THE SERVICE;

(III) FOR ANY MATTER BEYOND ITS OR THEIR REASONABLE CONTROL, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE AFOREMENTIONED DAMAGES. 

 

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and Trusted Partners and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Services, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of the course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, and greatest extent enforceable under applicable law in our Country and any Designated Country, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

Without limiting the foregoing, the Company does not make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Although we endeavor to provide you uninterrupted Services, we constantly change and improve our Services which may affect the functionality of certain features including the addition and/or removal of certain features over time, suspension or deletion of certain features/functionality and/or part of the Service. At any point in time, we may decide to STOP the Service as a whole.

 

This Agreement shall be governed by and construed in accordance with the laws of India. 

All claims, differences and disputes arising under or in connection with or in relation hereto the Services, the Terms or any transactions entered into on or through the Platform or Services shall be subject to the exclusive jurisdiction of the courts at Delhi, India and You hereby accede to and accept the jurisdiction of such courts.

 

If You have any concern or dispute about the Services, You agree to first try to resolve the dispute amicably by contacting the Company on the email under Reporting and Redressal Mechanism before initiating any litigation in Court.

 

• In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated or changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, to the minimum extent necessary, and the validity, legality, and enforceability of the remaining provisions shall remain in full force and effect.

• These Terms form a valid, enforceable agreement between you and MYSUTRALIFE TECHNOLOGIES PRIVATE LIMITED, a company incorporated under the Companies Act, 2013 with our registered office at B2-1101, Uniworld City Apartment, Sector-30, Gurugram, Haryana-122001, India.
